Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Assist AI application, website, APIs, and related services (collectively, the "Service") provided by Assist Technologies LLC, a California limited liability company ("Assist AI", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old (or the higher minimum age required in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and that you have the authority to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. Accounts and workspaces

  • Registration. To use most features you must create an account using a valid email address, which we verify with a one-time password (OTP) code.
  • Workspaces. The Service is organized into workspaces. Content and settings are scoped to a workspace, and members of a workspace may be able to view and act on resources within it according to the configured permissions. You are responsible for managing membership and access within workspaces you control.
  • Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at support@withassist.xyz of any unauthorized use.
  • Accuracy. You agree to provide accurate, current information and to keep it up to date.

3. The Service

Assist AI is an AI workspace platform that provides conversational AI, document storage and semantic search, project planning, workflow automation, custom tools, agents and subagents, interactive "sandcastle" components, and integrations with third-party services. We may add, change, or remove features at any time.

The Service relies on third-party model providers (such as OpenAI, Anthropic, Google, Perplexity, xAI, and Cerebras) and other subprocessors described in our Privacy Policy. Your use of those features is subject to this Privacy Policy and to the providers' own terms.

4. Acceptable use

You agree not to, and not to permit others to:

  • Use the Service in violation of any applicable law or regulation
  • Upload, generate, or distribute content that is illegal, infringing, defamatory, harassing, or that violates the rights of others
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks
  • Probe, scan, or test the vulnerability of the Service except as part of an authorized program, or circumvent any security or access controls
  • Interfere with or disrupt the integrity or performance of the Service, including by overloading, flooding, or denial-of-service activity
  • Reverse engineer, decompile, or attempt to extract source code, except to the extent that restriction is prohibited by law
  • Use the Service to build a competing product, or to train competing AI models, without our written permission
  • Use automated tools, integrations, browser automation, or agents in a way that violates the terms or rate limits of any connected third-party service
  • Use the Service to send spam, or to access or process data you are not authorized to access

You are solely responsible for the actions you direct the Service, its agents, and its tools to perform, including actions taken against connected third-party accounts.

5. Your content

  • Ownership. You retain all rights you have in the content you submit, upload, or create through the Service ("User Content"). We do not claim ownership of your User Content.
  • License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of your User Content solely as needed to operate, secure, and improve the Service and to provide it to you and your workspace. This includes transmitting relevant content to model providers and subprocessors to deliver AI features.
  • Responsibility. You represent that you have the necessary rights to submit your User Content and to authorize the integrations you connect, and that doing so does not violate any law or third-party right.
  • Backups. You are responsible for maintaining your own copies of important data. While we take reasonable measures to protect data, we are not a backup service.

6. Third-party services and integrations

The Service lets you connect third-party accounts (such as Google, Microsoft Outlook, Slack, LinkedIn, and Attio) and access third-party data and tools. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. You are responsible for ensuring that your connections and the actions you authorize comply with those third parties' terms. You can disconnect an integration at any time from the Service's connection settings.

7. AI output

AI-generated output may be inaccurate, incomplete, or otherwise unsuitable for your purposes. Output is provided on an "as is" basis. You are responsible for reviewing and verifying AI output before relying on it, and for any actions you or your agents take based on it. The Service does not provide legal, financial, medical, or other professional advice. Given the nature of generative AI, output may not be unique, and similar output may be generated for other users.

8. Payments and subscriptions

  • Fees. Paid plans and usage-based charges, if any, are described at the point of purchase. Payments are processed by our payment processor (Stripe); by purchasing, you also agree to Stripe's terms.
  • Billing. Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled. You authorize us (through our processor) to charge your payment method for applicable fees and taxes.
  • Cancellation. You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.
  • Changes. We may change pricing with prior notice; changes take effect at your next renewal.

9. Intellectual property

The Service, including its software, design, and content (excluding User Content), is owned by Assist Technologies LLC or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. All rights not expressly granted are reserved. Feedback you provide may be used by us without restriction or obligation to you.

10. Suspension and termination

  • By you. You may stop using the Service and delete your account at any time.
  • By us. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or to protect the Service or other users.
  • Effect. Upon termination, your right to use the Service ceases. We may delete your User Content following termination, subject to our Privacy Policy and applicable law. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Assist Technologies LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify and hold harmless Assist Technologies LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, your connected integrations, or your violation of these Terms or applicable law.

14. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before they take effect. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The state and federal courts located in California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction, except where prohibited by applicable law.

16. Miscellaneous

  • Entire agreement. These Terms and the documents referenced in them are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
